1. Introduction
These Terms and Conditions ("T & C") govern your access to and use of Olympus Pay's services, including our mobile application, website, APIs, and any related platforms (collectively, the "Services"). By accessing, browsing, or using any of our Services, you agree to comply with, and be legally bound by, these T&C. If you do not agree to these T&C, you must refrain from using our Services.
Olympus Pay Limited is currently under license to Gemba Finance Limited and offers bank accounts provided by Gemba Finance Ltd. Gemba Finance Ltd is Authorised by and regulated by the Financial Conduct Authority, Reference number: 804853. Gemba Finance Ltd registered office Address is Level 39, 1 Canada Square, Canary Wharf, London, E14 5AB, UK.
Olympus Pay is a financial technology company, not a bank. Currently undergoing registration with the Financial Conduct Authority (FCA) in the United Kingdom. As of the time of writing, we are not yet fully licensed but are committed to meeting all regulatory requirements and maintaining the highest standards of compliance. Please note that our registration process is ongoing, and we are working diligently towards obtaining full regulatory approval.

1.1 Agreement to Terms
By using our Services, you affirm that:
You have read, understood, and agree to be bound by these T&C, as well as any other applicable policies or guidelines provided by Olympus Pay, including but not limited to our Privacy Policy, Fee Schedule, and Cookie Policy (collectively, the "Agreement"). You have the legal capacity to enter into a contract and are not prohibited by applicable law or regulation from using financial services. If you are under the age of 18 or the legal age of majority in your jurisdiction, you are not authorized to use our Services.
1.2 Amendments and Updates to Terms
Olympus Pay reserves the right to update, modify, or amend these T&C at any time and for any reason. These changes may be necessary to reflect changes in our services, applicable laws, regulations, or industry standards.
Notification of Changes: If we make material changes to these T&C, we will notify you via the app, email, or other communication methods. The continued use of the Services after such changes will constitute acceptance of the updated terms. If you do not agree with the changes, you must cease using the Services and close your account as per Section 8 ("Account Suspension and Termination").
1.3 Purpose of Services: Olympus Pay offers ( through licensing to Gemba Finance Limted) a wide range of financial services, including but not limited to:
Payment Processing: Facilitate domestic and international transfers between Olympus Pay users and third-party financial institutions.
Currency Exchange: Provide competitive exchange rates for converting between different fiat currencies.
Account Balance Management: Enable users to maintain a balance within their Olympus Pay account for making payments or transfers.
Debit Card Services: Provide an Olympus Pay-branded debit card for in-store and online purchases.
Other Financial Services: Including but not limited to bill payments, savings accounts, and investment opportunities, which may be governed by separate terms and conditions.These Services are designed to help you manage your financial transactions in a secure, efficient, and user-friendly manner.
1.4 Jurisdiction andApplicable Law
These T&C are governed by and construed in accordance with the laws of England and Wales. By agreeing to these T&C, you consent to the exclusive jurisdiction of the courts located in London, England, or such other jurisdiction as Olympus Pay may determine, for the resolution of any disputes.This provision does not limit your rights as a consumer under applicable laws in your jurisdiction, which may grant you the ability to pursue claims in another forum.
1.5 Consent to Data CollectionAs part of our Services, we may collect, process, and store your personal data in accordance with our PrivacyPolicy. By using our Services, you consent to the collection and processing of your data as described in our Privacy Policy, which is incorporated by reference into these T&C.

2. Account Creation and Eligibility
2.1 Eligibility To be eligible to use OlympusPay’s services ("Services"), you represent and warrant that:
Age Requirement:
You are at least 18 years of age or the legal age of majority in your jurisdiction, whichever is greater, and possess the legal capacity to enter into binding contracts. If you are under the age of 18 or the legal age of majority, you are not authorized to use the Services.
Valid Identification:
You possess and can provide a valid, non-expired government-issued photo identification ("Government ID") such as a passport, driver’s license, or national identity card. This Government ID must be issued by a government authority recognized in the jurisdiction in which you reside. Olympus Pay reserves the right to request additional identification documents or verification to confirm your identity.
Legal Compliance:
You are not prohibited by any applicable laws, regulations, or sanctions from using financial services. Specifically, you are not: Subject to sanctions, including those imposed by the United Nations, the European Union, or the United States Department of the Treasury (OFAC), or any other relevant authority; A person or entity that is deemed to be a “politically exposed person” (PEP), or involved in any activities that violate laws relating to anti-money laundering (AML), counter-terrorism financing (CTF), or other applicable financial crime regulations; Engaged in any illegal activities that could result in your exclusion from financial services or penalties under applicable laws.
Geographic Restriction:
The Services may not be available in certain jurisdictions. It is your responsibility to ensure that you are not in a jurisdiction where the Services are prohibited or restricted by local laws or regulations. You confirm that you are legally permitted to use the Services based on your location and that you will comply with all local legal requirements. By accepting these Terms andConditions, you affirm that you meet the eligibility criteria listed above. If at any time it is determined that you do not meet the eligibility criteria or that your use of the Services violates any applicable laws, we reserve the right to suspend or terminate your account and/or access to the Services.
2.2 Account Registration
To register for an Olympus Pay account, you must provide certain personal and financial information("Account Information"). By completing the registration process, you agree to:
Accurate Information: You must provide complete, accurate, and current information when registering for an account, including but not limited to your full name, date of birth, physical address, email address, phone number, Government ID details, and any other information necessary to verify your identity and comply with regulatory requirements. You agree to keep your Account Information up to date and to notify us promptly of any changes.
Identity Verification: As part of the registration process, you may be required to undergo an identity verification process ("KYC" or Know Your Customer), which may involve submitting additional documents and undergoing biometric verification, such as a selfie or video call. You acknowledge and agree that you will provide true and accurate information, and consent to Olympus Pay using this information for the purposes of identity verification, fraud prevention, and compliance with applicable legal and regulatory requirements.
Authorization to Use Information: By providing your personal information, you authorize Olympus Pay to collect, process, and store your information in accordance with our Privacy Policy and applicable data protection laws. You also grant Olympus Pay the right to share your information with third parties such as payment processors, identity verification services, and regulatory authorities for the purpose of processing your registration and ensuring compliance with our obligations under the law.
Account Approval and Acceptance: Olympus Pay reserves the right, at its sole discretion, to approve or reject your registration for an account. We may require additional documentation or information before granting approval. If your application is rejected or if you fail to provide satisfactory verification information, you will not be able to access or use the Services.By completing the registration process, you confirm that you have read, understood, and accepted these Terms and Conditions, including our Privacy Policy.
2.3 Account SecurityYou are solely responsible for maintaining the confidentiality and security of your Olympus Pay account, including but not limited to your login credentials (e.g., username, password,PIN, or any multi-factor authentication methods) ("Account Credentials").You agree to:
Account Responsibility: You acknowledge and agree that you are fully responsible for all activities that occur under your account, whether or not authorized by you. This includes, without limitation, any transactions, purchases, or use of the Services. Olympus Pay is not responsible for any loss, theft, or unauthorized use of your Account Credentials.
Security Measures: You agree to implement all necessary security measures to protect your account and Account Credentials, including keeping your password and other authentication credentials confidential and ensuring that you use a strong, secure password. You are strongly advised to enable multi-factor authentication ("MFA") for added security.
Suspicious Activity: If you believe that your account has been compromised or that there has been any unauthorized access or use of your account, you agree to notify Olympus Pay immediately through the contact details provided in Section 11 of these Terms and Conditions. Failure to notify us promptly may result in additional losses or risks to your account and financial data.
Responsibility for Third-Party Access: If you grant any third party access to your account (e.g., a financial advisor or app developer), you remain fully responsible for all actions taken by that third party and agree to ensure they comply with these Terms and Conditions. Any actions taken by a third party with access to your account will be treated as actions authorized by you.
Olympus Pay’s Right to Act: Olympus Pay reserves the right to suspend or disable your account if we suspect any breach of security, unauthorized activity, or fraud. We also reserve the right to request additional information or take other actions to verify your identity or protect the security of your account.By using the Services, you accept and agree to assume full responsibility for the security and confidentiality ofyour account. We strongly recommend that you regularly monitor your account activity and notify us immediately of any suspicious or unauthorized transactions.
3. Services Provided
Olympus Pay offers a suite of financial services ("Services") designed to provide users withsecure, efficient, and convenient methods for managing and transferring money.These Services are subject to the terms and conditions outlined herein, as well as any additional terms and conditions that may apply to specific Services. Byusing Olympus Pay’s Services, you acknowledge and agree to the following:
3.1 Payments and Transfers
Olympus Pay enables users to send and receive funds to/from other Olympus Pay users, as well as to third-party payment providers, banks, and financial institutions. This includes, but is not limited to:
Peer-to-Peer Payments: Send and receive funds instantly between Olympus Pay accounts, both domestically and internationally. Transfers may be subject to certain limits and fees, which will be disclosed to you prior to initiating a transfer.
Bank Transfers: Link your bank account to your Olympus Pay account to send and receive funds directly between your bank and Olympus Pay. This may include deposits and withdrawals, and will be subject to processing times and fees set by your bank or financial institution.
Cross-Border Transfers: Olympus Pay facilitates international transfers, allowing you to send money across borders in different currencies. These transfers may be subject to currency conversion fees, exchange rate margins, and the laws and regulations governing cross-border financial transactions in the relevant jurisdictions.
Payment Service Provider Integration: Olympus Pay may also offer integration with third-party payment services (such as PayPal, Stripe, or others), which may have separate terms and fees. When using these integrated services, you agree to comply with the relevant third-party service provider’s terms.
Limitation of Liability: Olympus Pay makes no representations or warranties regarding the timeliness or success of any transfer, and is not liable for any delay or failure caused by third-party service providers, payment networks, or other external factors.
3.2 Currency Exchange
Olympus Pay allows you to exchange between various fiat currencies ("Currency Exchange"), at competitive rates. The following terms apply to Currency Exchange:
Currency Conversion: You may exchange one currency for another using Olympus Pay’s currency exchange services.
Exchange rates are determined based on real-time market conditions and may fluctuate accordingly. You will be notified of the exchange rate at the time of the transaction, and the rate will be fixed for the duration of the exchange.
Fees: Currency exchange services are subject to fees, which may include a margin on the exchange rate or an additional charge for the conversion service. The fees will be displayed clearly at the time of the transaction.
Availability: The availability of currency exchange may depend on market conditions, your account status, and other factors. Olympus Pay reserves the right to limit or restrict currency exchange for certain currencies or regions in compliance with applicable laws or regulatory requirements.
Currency Conversion Risk: You acknowledge and accept that the value of currencies can fluctuate, and Olympus Pay is not responsible for any losses that may occur due to currency exchange rate changes. You assume full responsibility for any risks associated with currency conversions.
3.3 Account Balance Management
Olympus Pay provides the ability to maintain and manage a balance in your Olympus Pay account ("AccountBalance"). You can deposit, hold, and withdraw funds from your account, subject to the following:
Deposits and Withdrawals: You may deposit funds into your Olympus Pay account from an external bank account, credit card, or other funding sources. Withdrawals can be made to your linked bank account or through other available methods. Olympus Pay reserves the right to impose limits on deposit and withdrawal amounts.
Account Funds: The funds in your Olympus Pay account are held in your name, but are not insured or protected by any government agency or financial institution, unless explicitly stated otherwise by Olympus Pay. Your account balance may not earn interest, unless we offer specific savings or investment products under separate terms.
Account Restrictions: Olympus Pay reserves the right to place holds or limits on your account balance in certain circumstances, including fraud prevention, regulatory compliance, or suspicion of illegal activity.
Maintenance of Account Balance: It is your responsibility to monitor and maintain sufficient funds in your Olympus Pay account to cover transactions or fees. Olympus Pay is not liable for any failure to process a transaction due to insufficient funds in your account.
3.4 Debit Card
Olympus Pay offers a prepaid debit card ("Olympus Pay Card") that allows you to make purchases both online and in-store, using the funds available in your Olympus Pay account. The following terms apply to the Olympus Pay Card: Issuance and Use: Upon approval, you may request the issuance of an Olympus Pay Card, which will be linked to your Olympus Pay account balance. The card can be used for purchases at merchants accepting debit cards, subject to the available balance in your account.
Card Activation: The Olympus Pay Card must be activated before use. You will be required to follow our instructions for activation, which may include providing additional identification or verifying your identity.
Fees: Using the Olympus Pay Card may incur various fees, including but not limited to issuance fees, ATM withdrawal fees, and foreign transaction fees. The specific fees associated with the card will be disclosed to you at the time of issuance.
Cardholder Responsibility: You are responsible for the safekeeping of your Olympus Pay Card and for any transactions made with it. If your card is lost, stolen, or otherwise compromised, you must notify us immediately so we can take appropriate action to protect your account.
Card Expiration: The Olympus Pay Card has an expiration date, after which it may no longer be used for transactions. We will notify you when your card is nearing expiration and offer you the option to request a replacement card.
Card Restrictions:
The Olympus Pay Card may be subject to certain restrictions, including geographical limitations, usage limits, and regulatory compliance measures. These restrictions may vary depending on your location and the applicable laws in your jurisdiction.
3.5 Other Services
In addition to the services outlined above, Olympus Pay may offer other financial services, including but not limited to bill payments, savings products, investments, and lending options (collectively, "Other Services"). Each of these services will be subject to separate terms and conditions, which will be provided to you at the time of offering the specific service.
Bill Payments: You may use Olympus Pay to pay utility bills, subscriptions, or other services directly from your Olympus Pay account. These payments may be subject to processing times, limits, and applicable fees.
Savings and Investment Options: Olympus Pay may offer savings products, interest-bearing accounts, or investment options under separate terms. These products will be subject to specific terms and conditions, including risks associated with investment products.
Availability of Services: Not all Services may be available in all regions, and certain services may be limited based on regulatory or legal requirements. Olympus Pay reserves the right to limit or discontinue any services at its discretion.
Limitation of Liability forServices: While Olympus Pay strives to offer reliable and secure financial services, we do not guarantee the availability, uninterrupted operation, or error-free performance of the Services. Olympus Pay is not liable for any loss, damage, or inconvenience arising from service interruptions, failures, or limitations on the availability of certain services.
4. Fees and Charges
Olympus Pay may charge various fees in connection with the use of its Services. These fees are intended tocover the operational costs associated with processing transactions, currency conversions, and other financial services. All fees will be clearly disclosed to you prior to initiating any transaction or service, and by using theServices, you acknowledge and agree to pay the applicable fees.
4.1 FeesThe following are examples of fees that may apply to certain transactions or services. These fees are subject to change, and specific fees will be communicated to you at the time you request the relevant service or transaction:
Transfer Fees: Olympus Pay may charge fees for sending or receiving funds, particularly for cross-border transactions or transactions that involve third-party financial institutions. These fees may vary depending on the destination country, transaction amount, and method of transfer. The specific fee structure for each transaction will be displayed to you prior to completing the transfer. For cross-border transfers, fees may include transaction fees imposed by Olympus Pay, as well as any additional fees or charges imposed by intermediary banks, payment networks, or third-party service providers.
Currency Conversion Fees: When exchanging one currency for another (e.g., when transferring funds between users in different countries or when making purchases in foreign currencies), Olympus Pay may charge a currency conversion fee. This fee will include a margin on the exchange rate, in addition to any fees assessed by external payment networks or financial institutions. The specific exchange rate and margin applied to your transaction will be displayed prior to confirmation. You acknowledge that exchange rates can fluctuate, and the rate applicable at the time of the transaction will be final.
Withdrawal Fees: If you wish to transfer funds from your Olympus Pay account to a linked bank account or external payment provider, a withdrawal fee may apply. The fee for withdrawals will vary based on the withdrawal method, destination, and the amount being withdrawn. Withdrawal fees may also apply to the use of the Olympus Pay Card, particularly for ATM withdrawals, and may include both Olympus Pay-imposed fees as well as fees charged by the ATM owner or financial institution.
Other Service Fees:
Account Maintenance Fees: Olympus Pay may charge a maintenance fee for keeping your account active, which will be clearly disclosed at the time of account opening or service subscription.
Card-Related Fees: Fees for requesting, activating, and using the Olympus Pay debit card, including activation fees, replacement card fees, and foreign transaction fees, will be disclosed during the card issuance process.
Bill Payment Fees: For using Olympus Pay to pay bills or make recurring payments, fees may apply, depending on the service provider and payment method. These fees will be disclosed at the time of the transaction.
Penalty Fees: Olympus Pay may impose penalty fees for activities such as exceeding transfer limits, insufficient funds to cover transaction fees, or failure to comply with account terms. These fees will be disclosed in advance and will apply according to the terms of the specific service.
Other Third-Party Fees: In addition to Olympus Pay's fees, you may be subject to fees imposed by third parties involved in processing your transactions, such as banks, payment processors, or ATM providers. These third-party fees are not controlled by Olympus Pay and will be communicated to you by the relevant third party at the time of the transaction.
Fee Disclosure: All applicable fees will be clearly displayed in the Olympus Pay app or website when initiating a transaction. You will be notified of any fees prior to confirming the transaction. By proceeding with the transaction, you acknowledge and agree to pay the applicable fees.
4.2 Fee Changes
Olympus Pay reserves the right to modify, update, or introduce new fees at any time, subject to the following terms:
Notification of Changes: We will provide you with reasonable notice of any changes to our fees through the following channels:
In-App Notification: You may receive an in-app notification outlining any changes to fees applicable to your account or services.
Email Notification: We will send you an email notification regarding any material changes to the fee structure, including new fees or increases in existing fees.
Updated Fee Schedule: Any changes will be reflected in an updated fee schedule available through the app or on our website, and will be effective on the date specified in the notification.
Timing of Fee Changes: Changes to fees will generally apply to transactions or services initiated after the effective date of the fee change. In the case of existing transactions or services in progress, the fees applicable at the time of initiation will apply.
Right to Reject: If you do not agree to any revised fees, you have the right to close your Olympus Pay account at any time prior to the implementation of the fee changes. Continued use of the Services after the effective date of the changes will constitute your acceptance of the updated fees.
Transparency: We are committed to transparency in our fee structure. Any changes to fees will be made in compliance with applicable regulations and will be communicated in a clear and timely manner.
Limitation of Liability for Fees: Olympus Pay strives to ensure that all fees are accurately calculated and disclosed, but we are not responsible for any third-party fees or for any discrepancies that may occur due to errors outside our control. If you have questions about fees or believe that a fee has been charged incorrectly, please contact our customer support team.
5. Prohibited ActivitiesOlympus Pay is committed to providing a secure, legal, and efficient financial service platform for its users. You agree not to use Olympus Pay’s services ("Services") for any activity that is illegal, harmful, or violates the integrity of the platform.Specifically, you agree not to engage in any of the following prohibited activities, whether directly or indirectly, through the use of the Services:
5.1 Illegal ActivitiesYou shall not use Olympus Pay for any illegal purposes or activities, including but not limited to:
Money Laundering: Engaging in or facilitating money laundering, including the concealment, transfer, or transformation of funds derived from criminal activities.
Terrorist Financing: Using Olympus Pay to finance, support, or facilitate terrorism or any related activities, including providing resources to terrorist organizations or individuals involved in terrorist activities.
Fraudulent Activities: Engaging in fraud, including the use of false identities, misrepresentation, or deceitful conduct to obtain financial benefits or services from Olympus Pay or its users.
Selling or Purchasing Illegal Goods or Services: Transacting, promoting, or facilitating the sale or purchase of goods or services that are illegal under any applicable law or regulation, including counterfeit items, controlled substances, or illicit products.
Prohibited Financial Transactions: Engaging in transactions that involve gambling, money transfers for illicit purposes, or any form of financial activity that violates local or international financial laws or regulations.
5.2 Harmful or Abusive Conduct You agree not to use Olympus Pay to engage in the following forms of harmful or abusive behavior:
Harassment or Threatening Behavior: Using Olympus Pay’s platform to harass, intimidate, or threaten other users, employees, or any third parties.
Abusive or Offensive Content: Uploading or sharing content that is abusive, discriminatory, defamatory, harmful, or offensive, including content that promotes hate speech, violence, or discrimination based on race, gender, religion, sexual orientation, or other protected categories.
Abuse of Customer Support: Engaging in abusive behavior toward Olympus Pay’s customer support team or representatives, including making unreasonable demands, using offensive language, or attempting to manipulate or coerce support staff.
5.3 Activity That Damages Olympus Pay’s Platform Integrity
You agree not to engage inactivities that could damage, disable, or impair the functioning of OlympusPay’s platform, including but not limited to:
Platform Interference: Interfering with the operation or security of Olympus Pay’s platform, including attempts to reverse-engineer, manipulate, or disrupt the functioning of the Services or the infrastructure supporting the platform.
Unauthorized Access: Attempting to gain unauthorized access to other users’ accounts, Olympus Pay’s internal systems, or any third-party systems linked with Olympus Pay through unauthorized means, including but not limited to hacking, phishing, or social engineering attacks. Bots and Automation: Using automated systems, scripts, or bots to create accounts, perform transactions, or manipulate any part of Olympus Pay’s platform or its associated services.
5.4 Third-Party Services and API Restrictions
Olympus Pay may offer access to third-party services or external applications ("Third-PartyServices") via APIs or other integration mechanisms, such as payment processors, banks, and other service providers. In addition to the above prohibitions, you agree to comply with the terms and conditions of theseThird-Party Services and recognize the following:
Third-Party Approval: When you use Olympus Pay to interact with Third-Party Services, you acknowledge that your access to these services may be subject to approval or consent from the third-party service provider. If a third-party provider does not approve of your account or activity, Olympus Pay reserves the right to restrict or terminate your access to the relevant service, even if the third-party decision is based on its own internal policies, legal obligations, or regulatory requirements.
Notification of Third-Party Restrictions: In the event that a third-party service provider denies or restricts your access to their services through Olympus Pay, we will notify you promptly of the decision and the reason, where possible. You agree to cease using the Services if you receive notification that a third-party provider has disapproved of your account or activities.
Compliance with Third-Party Terms: You acknowledge that using third-party services through Olympus Pay requires compliance with the terms and conditions of the respective third-party providers, and that any violations of these terms may result in the suspension or termination of access to both Olympus Pay’s Services and the third-party service. These third-party terms are made available to you and are incorporated by reference into this agreement. You are responsible for reviewing and adhering to them.
Third-Party Termination: If Olympus Pay is notified that your use of Third-Party Services violates the third-party’s terms, Olympus Pay may terminate or suspend your access to the affected service or feature, even if no violation of Olympus Pay’s Terms and Conditions has occurred. You agree to indemnify Olympus Pay from any liability arising from your violation of any third-party service terms.
5.5 Consequences of ViolatingProhibited Activities
If you violate any of the prohibited activities outlined in this section, Olympus Pay reserves the right to take immediate action, which may include, but is not limited to:
Suspension or Termination of Account: Olympus Pay may suspend or permanently terminate your account, services, or access to the platform, either temporarily or permanently, depending on the severity of the violation.
Reporting to Authorities: If we detect illegal activity or activities that may be harmful to other users or Olympus Pay’s platform, we may report such activities to relevant authorities, including law enforcement, financial regulatory bodies, and other government entities, as required by applicable laws and regulations.
Financial Penalties: You may be liable for any damages, fees, or penalties incurred as a result of engaging in prohibited activities, including any legal costs or fines imposed by regulatory authorities. Olympus Pay may seek to recover these costs from you.
Legal Action: In cases where a violation involves fraud, money laundering, terrorist financing, or other criminal activity, Olympus Pay may pursue legal action, including criminal prosecution, in accordance with applicable laws.
5.6 Acknowledgement andAgreement
By using Olympus Pay’s Services, you acknowledge that you have read, understood, and agree to comply with theseProhibited Activities terms. You also agree that Olympus Pay has the right to investigate any suspected or alleged violations of these terms and take appropriate actions, including restricting or terminating access to the platform and reporting any illegal activities to relevant authorities.
Limitation of Liability forProhibited Activities:
Olympus Pay is not liable for any damages, losses, or costs arising from your violation of the prohibited activities outlined in this section, including but not limited to the suspension or termination of your account, restrictions imposed by third-party service providers, or any legal actions resulting from your misconduct.

Fraudulent or Suspicious Activity: If we detect fraudulent, suspicious, or unauthorized activity on your account, including but not limited to money laundering, identity theft, or other forms of financial fraud, we may suspend your account immediately to investigate the matter.
Regulatory Compliance: If we are required to suspend your account to comply with applicable laws or regulatory requirements, such as anti-money laundering (AML) or counter-terrorism financing (CTF) laws, we may do so without prior notice.
Security Risks: If we determine that your account has been compromised or is at risk of being compromised (e.g., due to a data breach or unauthorized access), we may suspend your account to protect your personal and financial information, and to ensure the security of the platform.
Notification of Suspension:While we reserve the right to suspend or restrict your account without prior notice in situations where immediate action is necessary to protect Olympus Payor comply with legal requirements, we will endeavor to notify you promptly of any account suspension or restriction, unless prohibited by law or regulatory authorities.
Effect of Suspension:During the suspension period, you may be unable to access certain Services, initiate transactions, or perform other account activities. Any suspended account may be reactivated at our sole discretion, upon resolution of the issue that led to the suspension.
8.2 Account TerminationYou may close your Olympus Pay account at any time by submitting a request to us through our customer support channels. Upon account termination, the following will apply:
Termination by User: If you choose to close your account, you will need to follow our account closure process, which may require you to clear any pending transactions, withdraw any remaining funds, and settle any outstanding fees. After the termination, your access to the Services will be permanently revoked, and your data will be subject to the data retention and deletion provisions outlined in our Privacy Policy.
Termination by Olympus Pay: We may terminate your account at any time, with or without notice, if:

Effect of Termination:Upon termination of your account, your access to the Olympus Pay platform andServices will be permanently revoked. You will no longer be able to send or receive money, access your account balance, or use any other services associated with your account. You may request a final statement of your account and withdraw any remaining funds, subject to our withdrawal policies and any applicable fees.
8.3 Consequences of Account Suspension or Termination Data Retention: Even after suspension or termination, Olympus Pay may retain certain data related to your account, transactions, or interactions with the Services, as necessary for legal, regulatory, fraud prevention, and record-keeping purposes. 9. Governing Law and DisputeResolution
9.1 Governing LawThese Terms and Conditions("T&C") and any disputes arising under, in connection with, or related to these T&C shall be governed by and construed in accordance with the laws of England and Wales. Jurisdiction: You agree that any disputes, claims, or legal proceedings arising from or in connection with these T&C, or the use of Olympus Pay’s services, shall be subject to the exclusive jurisdiction of the courts located in London, England, or such other jurisdiction as Olympus Pay may determine in its sole discretion.
Contractual Relationship: By using Olympus Pay’s services, you acknowledge that you are entering into a contractual relationship governed by the laws of England and Wales, and you consent to the jurisdiction of the English courts for the resolution of any legal disputes.This provision does not limit your rights as a consumer under applicable laws in your jurisdiction, which may grant you the ability to pursue claims in another forum.
9.2 Dispute ResolutionIn the event of any dispute, controversy, or claim arising from or relating to these T&C, your use of the Services, or any breach of these T&C, we encourage you to first contact us directly to attempt to resolve the issue informally. Our customer support team is available to address any concerns, and we aim to provide a resolution that is fair and satisfactory to all parties involved.If a dispute cannot be resolved through informal communication or customer support channels, we offer the following alternative dispute resolution processes:
Arbitration: Any unresolved disputes shall be referred to and finally resolved by binding arbitration under the rules of the London Court of International Arbitration (LCIA) or another arbitration provider mutually agreed upon by the parties. The arbitration proceedings shall be conducted in London, England, and the language of the arbitration shall be English.
Arbitration Process: The arbitration shall be conducted by a sole arbitrator, and the decision of the arbitrator shall be final and binding on both parties. Each party shall bear its own costs and expenses associated with the arbitration unless the arbitrator orders otherwise.
No Class Action: Any arbitration under these T&C shall be conducted on an individual basis. You may not bring a claim as a plaintiff or a class member in any class or representative action.
Mediation: Before proceeding to arbitration, either party may request mediation to resolve the dispute. Mediation will be conducted by a neutral mediator chosen by both parties. If the dispute is not resolved through mediation, either party may then proceed to arbitration as outlined above.
Exclusion from Arbitration and Mediation: This dispute resolution process does not preclude Olympus Pay from seeking injunctive or equitable relief in any court of competent jurisdiction, where necessary, to protect its intellectual property or enforce its rights.
Governing Rules: The rules and procedures for arbitration and mediation will be as set forth by the LCIA or another mutually agreed-upon arbitration provider. If there is any inconsistency between the rules of the selected arbitration provider and the provisions of these T&C, the provisions of these T&C will govern.
Costs and Fees: Each party will bear its own costs and expenses associated with dispute resolution, except that the prevailing party in any arbitration or mediation proceeding may be entitled to recover its reasonable costs, including legal fees, as determined by the arbitrator or mediator.

Nothing in this section shall limit or affect your statutory rights as a consumer under applicable law. 9.5 Continuation of TermsEven if the dispute resolution processes set out in this section are invoked, the terms of this agreement shall remain in full force and effect, and each party shall continue to be bound by the provisions of these T&C, except as otherwise modified by the outcome of arbitration, mediation, or court order.
Limitation on Claims: Any claim, dispute, or action arising from or relating to your use of the Services must be brought within 12 months from the date of the event giving rise to the claim. Any claims brought after this period will be barred.
